Agreement to Terms

By purchasing, downloading, installing, or using Auto Social Media Marketer Pro (“ASMM Pro,” “the Plugin,” “the Software”), you agree to be bound by these Terms of Use (“Terms,” “Agreement”). This Agreement is a legal contract between you (“User,” “Customer,” “you”) and Donesa Group Ltd (“Company,” “we,” “us,” “our”).

Definitions

“ASMM Pro” or “Plugin” refers to the Auto Social Media Marketer Pro WordPress plugin, including all files, code, documentation, and updates.

“License” refers to the right to use the Plugin as granted under this Agreement.

“License Key” refers to the unique activation code provided upon purchase.

“Website” refers to https://asmmpro.com and all associated subdomains.

“Service” refers to the Plugin, Website, support, and all related services provided by Donesa Group Ltd.

“User Content” refers to any content (text, images, videos, etc.) you upload, create, or post through the Plugin.

“Third-Party Platforms” refers to Facebook, Instagram, Twitter, and any other social media platforms integrated with the Plugin.

“Documentation” refers to user manuals, guides, and help materials provided with the Plugin.

License Grant

1. Grant of License

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

– Install and use the Plugin on your own WordPress website
– Use the Plugin for your own lawful business or personal purposes
– Receive updates and support during your active license period (if/where applicable)
– Access and use the documentation

2. License Types

Single Site:
– Use on one (1) domain or subdomain
– Includes all features
– Access to available updates if/when available, and 3 months of support
– Support renewal required for continued support (must be requested by user).

Multiple Sites:
– Use on up to three (3) domains (Elite Plan) and twenty-five (25) domains (Agency Plan) (if purchased)
– Includes all features
– Access to available updates if/when available, and 3 months of support
– Support renewal required for continued support (must be requested by user).

3. License Duration

– License is one-time payment.
– Updates and support require active license.

4. What You May Do

You may:
– ✅ Install on your licensed website(s)
– ✅ Create unlimited content
– ✅ Connect unlimited social media accounts
– ✅ Use for commercial purposes (posting for your business)
– ✅ Create posts on behalf of clients (if managing their accounts)
– ✅ Make backups of the Plugin

5. What You May NOT Do

You may not:
– ❌ Use on more than the licensed number of websites
– ❌ Share your license key with others
– ❌ Distribute, sell, or resell the Plugin
– ❌ Modify, reverse engineer, or decompile the Plugin
– ❌ Remove or alter copyright notices
– ❌ Create derivative works
– ❌ Use for illegal purposes

License Restrictions

1. Limitation

Each license is valid for the number of websites stated on the plan (Single, Elite, or Agency).

2. Transfer Restrictions

Licenses are non-transferable except:
– You may transfer between your own websites
– Must deactivate from old site first
– Contact support for domain change assistance
– Cannot transfer to another person without approval

3. No Resale

You may not:
– Resell or redistribute the Plugin
– Offer Plugin as part of your service package
– Include in themes or other plugins
– Bundle with other products
– Offer as white-label solution

4. Code Restrictions

You agree not to:
– Reverse engineer the Plugin
– Decompile or disassemble the code
– Attempt to derive source code
– Remove obfuscation or encryption
– Modify core Plugin files
– Create derivative plugins

5. Commercial Use Clarification

ALLOWED:
– Using Plugin for your business social media
– Managing client social media accounts
– Posting commercial content
– Charging clients for social media management services (using Plugin as your tool)

NOT ALLOWED:
– Reselling the Plugin itself
– Offering Plugin access as a service
– White-labelling the Plugin
– Including Plugin in paid memberships

Purchase and Payment

1. Pricing

– Pricing displayed on Website at time of purchase
– All prices in GBP unless otherwise stated
– Prices subject to change with notice
– Changes don’t affect existing licenses

2. Payment Methods

We accept:
– Credit cards (Visa, Mastercard, American Express)
– Other methods as displayed on Website
– Payments are processed through Stripe!

3. Taxes

– Prices may not include local taxes
– You are responsible for applicable taxes
– VAT/GST charged where required by law
– Tax amount shown at checkout

4. Currency and Exchange Rates

– Charges in GBP
– Your bank may apply currency conversion fees
– We are not responsible for exchange rate fluctuations

License Activation and Validation

1. Activation Process

– License key provided after purchase
– Must be activated on your website
– Activation verifies license validity
– Required for full functionality

2. Validation Requirements

The Plugin will:
– Validate license every 1 minute
– Check license status with our server
– Require internet connection for validation
– Disable features if validation fails

3. Domain Verification

– License tied to specific domain
– Domain must match license registration
– www and non-www treated as different (be consistent)
– Subdomains count as separate sites

4. Deactivation

You must deactivate license before:
– Moving to different domain
– Transferring site to new owner
– Deleting website
– Cancelling license

Failure to deactivate may prevent reactivation.

5. License Violations

We may suspend or terminate license if:
– Used on unauthorized sites
– License key shared
– Fraudulent purchase
– Violation of these Terms
– Abuse of service

Updates and Support

1. Updates if/when available included

Active license includes:
– Bug fixes and security patches
– Feature enhancements
– Compatibility updates (WordPress, PHP)
– API integration updates
– Performance improvements

2. How Updates Work

– We will send you an email notification, when/if updates is available.
– Information will be provided on update process
– Requires active license
– Backup recommended before updating

3. Update Policy

We will:
– Provide updates for active licenses if/when available.
– Maintain backward compatibility when possible
– Notify of breaking changes
– Provide migration guides for major updates

We are not obligated to:
– Add specific features
– Support unsupported WordPress/PHP versions
– Maintain old versions indefinitely

4. Support Included

Active license includes:
– Email support (asmmprosupport@donesa.co.uk)
– One to seven days response time (business days)
– Technical assistance
– Configuration help
– Bug reporting

5. Support Limitations

Support does NOT include:
– Custom development
– Third-party plugin conflicts
– Server configuration
– WordPress core issues
– Social media platform policy violations
– Training on social media marketing

6. Support Eligibility

To receive support:
– Must have active license
– Must use latest Plugin version
– Must meet minimum requirements
– Must provide requested information

Refund Policy

1. 7-Day Money-Back Guarantee

We offer full refund within 7 days of purchase if:
– Plugin doesn’t work as described
– Technical issue we cannot resolve
– Refunds apply only if the plugin has not been downloaded or activated. By completing your purchase and downloading the plugin, you waive your right to a refund for digital content.

2. Refund Process

To request refund:

2. Include license key and reason
3. We’ll process within 5-10 business days
4. Refund to original payment method

3. Refund Conditions

Refund may be denied if:
– Purchased more than 7 days ago
– Evidence of abuse or fraud
– Violation of Terms
– Previous refund granted for same product

– Plugin has been downloaded or activated

4. Post-Refund

After refund:
– License key deactivated immediately
– Access to updates and support terminated
– Must uninstall from website

Your Responsibilities

1. Eligibility

You represent that:
– You are 18 years or older
– You have authority to enter this Agreement
– You will comply with all applicable laws
– Information provided is accurate

2. Account Security

You are responsible for:
– Maintaining confidentiality of license key
– Security of your WordPress installation
– All activity under your license
– Unauthorized use of your license

Notify us immediately of any unauthorized use of your license.

3. Technical Requirements

You must:
– Meet minimum system requirements
– Use supported WordPress and PHP versions
– Maintain proper server configuration
– Keep WordPress and PHP updated
– Ensure adequate hosting resources

4. Backups

You are responsible for:
– Regular WordPress backups
– Database backups
– Testing restore procedures
– Off-site backup storage

We are not responsible for data loss.

5. Social Media Accounts

You are responsible for:
– Obtaining and maintaining API credentials
– Compliance with platform Terms of Service
– Content you post through Plugin
– Account security and access
– Any account restrictions or bans

6. Content Responsibility

You are solely responsible for:
– User Content created and posted
– Accuracy of content
– Intellectual property rights
– Compliance with laws and regulations
– Privacy rights of individuals in content

7. Legal Compliance

You must:
– Comply with all applicable laws
– Respect intellectual property rights
– Protect personal data (GDPR, CCPA, etc.)
– Obtain necessary consents
– Follow advertising regulations

Prohibited Uses

You agree NOT to use ASMM Pro for:

1. Illegal Activities

– Any illegal purpose
– Violating any laws or regulations
– Fraudulent activities
– Money laundering
– Prohibited goods or services

2. Harmful Content

– Spam or unsolicited bulk messages
– Malware, viruses, or harmful code
– Phishing or social engineering
– Harassment, threats, or bullying
– Hate speech or discrimination

3. Intellectual Property Violations

– Copyright infringement
– Trademark violations
– Unauthorized use of others’ content
– Impersonation
– Fake news or misinformation

4. Privacy Violations

– Unauthorized collection of personal data
– Doxxing or sharing private information
– Violating privacy laws
– Scraping or harvesting data

5. Platform Abuse

– Violating social media Terms of Service
– Automation that violates platform rules
– Creating fake accounts or engagement
– Coordinated inauthentic behavior
– Evading platform restrictions

6. Service Abuse

– Reverse engineering the Plugin
– Attempting to bypass license validation
– Sharing license keys
– Excessive API calls
– Interfering with service operation

7. Restricted Content

Content that is:
– Adult or sexual in nature (if violates platforms)
– Violent or graphic
– Promotes illegal activities
– Targets minors inappropriately
– Violates platform community standards

**Violation may result in immediate license termination without refund.**

Social Media Platform Compliance

1. Platform Terms

You must comply with:
– Facebook Terms of Service and Policies
– Instagram Terms of Use and Community Guidelines
– Twitter Terms of Service and Rules
– Each platform’s API Terms
– Each platform’s Automation Rules

2. API Usage

You acknowledge:
– You use official APIs provided by platforms
– API access can be revoked by platforms
– Platforms may change APIs without notice
– We are not responsible for platform changes
– Plugin functionality depends on API availability

3. Platform Restrictions

You understand:
– Platforms have rate limits
– Excessive posting may result in restrictions
– Content may be removed by platforms
– Accounts may be suspended or banned
– We are not responsible for platform actions

4. Authentication

You are responsible for:
– Obtaining your own API credentials
– Maintaining valid access tokens
– Refreshing expired tokens
– Ensuring proper permissions granted
– Protecting your credentials

5. Compliance Monitoring

While we build compliance into the Plugin:
– You remain responsible for your content
– You must monitor your posting activity
– You must respond to platform notifications
– We are not liable for compliance violations

Intellectual Property

1. Our Ownership

– Documentation and materials

– Website and content
– Designs and interfaces
– Updates and improvements

2. Your Ownership

You retain ownership of:

– Your social media accounts
– Your data and information
– Your customer relationships

3. License to Your Content

Plugin is self-managed and installed on your server:
– We do not have access to your content through Plugin
– We do not transmit content to your social media APIs
– We do not store content in your database
– We do not claim ownership of your content.

4. Feedback

If you provide feedback or suggestions:
– We may use without compensation
– You grant us perpetual license
– You waive any proprietary rights
– No obligation to implement

5. Trademarks

“Auto Social Media Marketer Pro,” “ASMM Pro,” and related marks are our trademarks. You may not:
– Use our trademarks without permission
– Create confusingly similar marks
– Imply endorsement or affiliation
– Use in domain names or business names

6. DMCA Compliance

If you believe content infringes your rights:

– We’ll respond per legal requirements

Privacy and Data Protection

Disclaimers

1. No Warranty

We disclaim all warranties, express or implied, including:

– Non-infringement
– Quality or accuracy
– Uninterrupted or error-free operation

2. No Guarantee of Results

We do not guarantee:
– Social media success or growth
– Specific engagement or reach
– Compliance with all platform requirements
– Compatibility with all configurations
– Freedom from bugs or errors

3. Third-Party Platforms

We are not responsible for:
– Social media platform downtime
– API changes or deprecations
– Platform policy changes
– Account restrictions or bans
– Content removal by platforms

4. No Responsibility for Content

We are not responsible for:
– Your User Content
– Third-party content
– Accuracy of posted information
– Legal compliance of content
– Consequences of posting

5. System Requirements

We are not responsible for:
– Incompatibility with your system
– Server configuration issues
– WordPress or PHP version problems
– Conflicts with other plugins
– Hosting provider limitations

6. Data Loss

We are not responsible for:
– Loss of data
– Corruption of database
– Failed backups
– Server failures
– Your failure to maintain backups

Limitation of Liability

1. Maximum Liability

**TO THE MAXIMUM EXTENT PERMITTED BY LAW:**

Our total liability for any claims arising from this Agreement or Plugin use is limited to the amount you paid for the Plugin license.

2. Exclusion of Damages

**WE ARE NOT LIABLE FOR:**

– Indirect, incidental, or consequential damages
– Loss of profits or revenue
– Loss of business opportunities
– Loss of data
– Damage to reputation
– Cost of substitute services
– Downtime or service interruption

**EVEN IF WE’VE BEEN ADVISED OF POSSIBILITY OF SUCH DAMAGES.**

3. Exceptions

Some jurisdictions don’t allow limitation of liability for:

– Fraud or fraudulent misrepresentation

In such jurisdictions, our liability is limited to the minimum required by law.

4. Your Acknowledgment

Indemnification

You agree to indemnify, defend, and hold harmless Donesa Group Ltd, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

– Your User Content
– Your violation of these Terms
– Your violation of third-party rights
– Your violation of laws or regulations
– Your social media posting activities
– Claims by third parties related to your content

2. Process

If we seek indemnification:
– We’ll notify you promptly
– You’ll assume defense at your expense
– We may participate with own counsel
– You may not settle without our consent
– We’ll cooperate reasonably

3. Scope

Indemnification obligations survive termination of this Agreement.

Termination

1. Termination by You

You may terminate by:
– Discontinuing use of Plugin
– Uninstalling Plugin
– Deactivating license
– Not renewing license

2. Termination by Us

We may terminate immediately if:
– You violate these Terms
– License payment fails or is reversed
– Fraudulent activity detected
– Required by law
– Abuse of service

3. Effect of Termination

Upon termination:

– Must uninstall from website
– Access to updates and support ends

Modifications to Terms

– Singular includes plural and vice versa
– “Or” is not exclusive
– “May” is permissive, “shall” is mandatory
